1. Agreement to Terms

By accessing or using the Baglioré Beauty software platform and services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all users and visitors of the Service, including registered users, clients, affiliates, and third-party integrators. The Service is intended for professional use within salon and beauty businesses, and by using the Service, you represent that you are using it in connection with a legitimate salon or beauty business.

2. License Terms

2.1 License Grant

Subject to these Terms and your compliance with them, Baglioré Beauty grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. This license is specific to your business and subscription level and remains in effect only for the duration of your active subscription period.

Any rights not expressly granted herein are reserved by Baglioré Beauty. This license does not transfer ownership of any intellectual property from Baglioré Beauty to you, and all rights, title, and interest in and to such property will remain solely with Baglioré Beauty.

2.2 License Types

Baglioré Beauty offers the following license types:

  • Trial License: A 7-day evaluation period that grants full access to the Service's features. Trial access automatically expires after 7 days and requires conversion to a paid subscription to continue using the Service.
  • Monthly License: A 30-day recurring subscription that renews automatically until cancelled. Payment is processed at the beginning of each 30-day period.
  • Annual License: A 365-day subscription that offers a discounted rate compared to the monthly option. Payment is processed once per year, and the subscription renews automatically unless cancelled.
  • Enterprise License: Custom terms and features as agreed upon in a separate written agreement between Baglioré Beauty and the enterprise customer.

Baglioré Beauty reserves the right to change pricing or terms for any license type at any time without prior notice. Any price changes will be effective upon renewal of your subscription.

2.3 License Restrictions

You agree not to:

  • Sublicense, sell, rent, lease, transfer, assign, distribute, or otherwise commercially exploit the Service or make it available to any third party
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure of the Service
  • Modify, make derivative works of, disassemble, decrypt, or otherwise attempt to change or derive any source code from the Service
  • Use the Service for competitive analysis, benchmarking, or to develop a competing product or service
  • Share access credentials or allow multiple users to access the Service using a single set of login credentials, unless explicitly permitted by your subscription level
  • Remove, alter, or obscure any proprietary notices (including copyright and trademark notices) from any portion of the Service
  • Use the Service in any manner that could damage, disable, overburden, or impair Baglioré Beauty's servers or networks
  • Use the Service in violation of applicable laws or regulations

3. User Accounts

3.1 Account Creation

To access the Service, you must create an account by providing accurate, complete, and current information as prompted during the registration process. You are responsible for maintaining the accuracy and completeness of this information.

You may create only one account per business entity unless multiple accounts are explicitly permitted by your subscription level. We reserve the right to verify your business information and may request additional documentation to confirm your identity or business legitimacy.

3.2 Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials, including your password, and for all activity that occurs under your account. You agree to:

  • Create a strong, unique password and maintain its confidentiality
  • Immediately notify Baglioré Beauty of any unauthorized access to your account or any other breach of security
  • Take sole responsibility for all activities conducted through your account
  • Ensure that you log out from your account at the end of each session when using shared devices
  • Comply with password security requirements, including periodic password changes if required by the system

Baglioré Beauty will not be liable for any loss or damage arising from your failure to comply with these requirements. We may suspend or terminate your account if we suspect unauthorized or fraudulent use.

4. Service Usage

4.1 Acceptable Use

You agree to use the Service only for legitimate business purposes in accordance with these Terms and all applicable laws and regulations. You are responsible for ensuring that:

  • All use of the Service complies with applicable local, state, national, and international laws and regulations
  • Your use of client data complies with relevant privacy and data protection regulations
  • You maintain accurate records and information within the system
  • You obtain appropriate consent from clients whose information you enter into the system
  • You follow ethical business practices in your interactions with clients and in your use of the Service

4.2 Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  • Attempting to gain unauthorized access to the Service or other users' accounts
  • Interfering with or disrupting the integrity or performance of the Service
  • Uploading or transmitting viruses, malware, or other malicious code
  • Engaging in fraudulent activities or misrepresenting yourself or your affiliation with any person or entity
  • Using the Service to store or transmit content that infringes upon the intellectual property rights of others
  • Using the Service to store or transmit harassing, defamatory, abusive, or otherwise objectionable content
  • Using the Service to send unsolicited commercial communications
  • Scraping, data mining, or otherwise collecting information from the Service through automated means

Baglioré Beauty reserves the right to investigate and take appropriate action against violations of these Terms, including reporting suspected unlawful activities to law enforcement authorities and terminating your access to the Service.

5. Payment Terms

5.1 Subscription Fees

Access to the Service requires payment of subscription fees according to the pricing plan you select. All fees are payable in advance and are non-refundable except as expressly provided in these Terms.

You agree to provide accurate and complete billing information, including a valid payment method. By providing payment information, you authorize Baglioré Beauty to charge your designated payment method for all fees associated with your subscription.

Subscription fees do not include taxes, which will be charged separately where applicable. You are responsible for paying all taxes associated with your use of the Service.

Baglioré Beauty reserves the right to change pricing at any time without prior notice. Any price changes will be effective upon renewal of your subscription.

5.2 Refunds

All subscription payments are non-refundable except in the following circumstances:

  • If you cancel your subscription within 48 hours of initial purchase and have not actively used the Service, you may be eligible for a full refund
  • If the Service experiences a significant outage (more than 24 consecutive hours) due to Baglioré Beauty's systems, you may be eligible for a prorated refund for the affected period
  • If required by applicable law

To request a refund, contact [email protected]. All refund requests will be evaluated on a case-by-case basis.

If you dispute a charge with your payment provider rather than contacting us first, we reserve the right to terminate your account for violation of these Terms.

5.3 Late Payments

If payment cannot be processed due to expired payment methods, insufficient funds, or other reasons, we will attempt to process the payment again within 72 hours. During this grace period, you may update your payment information.

If payment is not successfully processed after the grace period, your access to the Service may be suspended. A late payment fee of up to 10% of the subscription amount may be applied to overdue accounts.

To reinstate suspended accounts, you must pay all outstanding fees and late charges. Baglioré Beauty reserves the right to terminate accounts with consistently late payments.

6. Data Management

6.1 Data Ownership

You retain ownership of all data you input into the Service, including client information, appointment details, and business records ("Your Data"). You grant Baglioré Beauty a non-exclusive, worldwide license to use, process, and store Your Data solely for the purpose of providing the Service to you.

Baglioré Beauty owns all aggregated, anonymized data derived from your use of the Service, provided that such data does not identify you or your clients and cannot be traced back to you, your clients, or your business.

You are solely responsible for:

  • The accuracy and quality of Your Data
  • Obtaining all necessary permissions to share and process client data through the Service
  • Creating regular backups of your data, although the Service includes automated backup functionality
  • Complying with all applicable data protection and privacy laws regarding Your Data

6.2 Data Processing

In providing the Service, Baglioré Beauty acts as a data processor for Your Data. We will:

  • Process Your Data only in accordance with your instructions and these Terms
  • Implement appropriate technical and organizational measures to protect Your Data
  • Assist you in responding to requests from data subjects when possible
  • Delete or return Your Data upon termination of the Service, as outlined in section 9.2
  • Provide information necessary to demonstrate compliance with data protection obligations

7. Service Availability

7.1 Uptime Commitment

Baglioré Beauty strives to provide a reliable service with minimal disruptions. We target a monthly uptime of 99.5%, excluding scheduled maintenance windows. However, we do not provide a formal Service Level Agreement unless specified in an Enterprise License agreement.

Scheduled maintenance will typically occur during off-peak hours and will be announced at least 48 hours in advance whenever possible. Emergency maintenance may occur without advance notice when necessary to protect the security or integrity of the Service.

Baglioré Beauty is not responsible for service interruptions caused by:

  • Factors outside our reasonable control, including internet service provider failures or delays
  • Your equipment, software, or other technology
  • Third-party services or applications that integrate with the Service
  • Suspension or termination of your right to use the Service in accordance with these Terms

7.2 Support Services

Baglioré Beauty provides the following support services:

  • Standard email support available Monday through Friday, 9:00 AM to 5:00 PM Eastern Time, excluding holidays
  • In-app support resources, including documentation, tutorials, and FAQs
  • Emergency support for critical issues that render the Service completely unusable

Response times vary based on the severity of the issue and your subscription level. Enterprise customers may receive priority support as specified in their license agreement.

To request support, contact [email protected]. When reporting issues, please provide detailed information about the problem, including steps to reproduce it and any error messages received.

8. Intellectual Property

8.1 Ownership Rights

The Service, including all software, design, text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and code, is the property of Baglioré Beauty or our licensors and is protected by copyright, trademark, and other intellectual property laws.

All trademarks, service marks, and trade names used by Baglioré Beauty in connection with the Service are owned by Baglioré Beauty or our licensors and may not be used without prior written permission.

Nothing in these Terms grants you any right, title, or interest in the Service, its content, or the Baglioré Beauty trademarks, except for the limited license expressly set forth in Section 2.

8.2 User Content

By uploading content to the Service, including logos, images, or custom templates ("User Content"), you grant Baglioré Beauty a non-exclusive, royalty-free, worldwide license to use, store, display, and reproduce such User Content solely for the purpose of providing the Service to you.

You represent and warrant that:

  • You own or have obtained all necessary rights to the User Content
  • The User Content does not infringe or violate the rights of any third party
  • The User Content complies with all applicable laws and regulations

Baglioré Beauty reserves the right to remove any User Content that violates these Terms or that we determine, in our sole discretion, is unlawful, offensive, threatening, libelous, defamatory, obscene, or otherwise objectionable.

9. Termination

9.1 Termination Rights

You may terminate your subscription at any time by cancelling through your account settings or by contacting [email protected]. Cancellation will be effective at the end of your current billing cycle, and you will not be entitled to a refund for the remainder of that cycle.

Baglioré Beauty may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if:

  • You breach any of these Terms
  • You fail to make any payment when due
  • You provide inaccurate, fraudulent, or false information
  • You use the Service in a manner that could cause harm to Baglioré Beauty or other users
  • We are required to do so by law
  • We decide to cease providing the Service entirely or in your region

In case of termination for breach of these Terms, Baglioré Beauty reserves the right to refuse to provide you with access to the Service in the future.

9.2 Post-Termination

Upon termination of your subscription:

  • Your access to the Service will cease immediately
  • You will have 30 days to export Your Data from the Service through the export tools provided
  • After 30 days, we may delete Your Data from our active systems
  • We may retain archived copies of Your Data as required by law or for legitimate business purposes
  • You remain liable for any outstanding fees or charges incurred prior to termination

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Liability Limitations

10.1 Warranty Disclaimer

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

Baglioré Beauty does not warrant that:

  • The Service will function uninterrupted, secure, or available at any particular time or location
  • Any errors or defects will be corrected
  • The Service is free of viruses or other harmful components
  • The results of using the Service will meet your requirements

This disclaimer of warranty may not apply to you to the extent that applicable law prohibits it.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BAGLIORÉ BEAUTY, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE.

IN NO EVENT WILL BAGLIORÉ BEAUTY'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO BAGLIORÉ BEAUTY IN THE LAST SIX (6) MONTHS, OR $100 IF YOU HAVE NOT HAD ANY PAYMENT OBLIGATIONS TO BAGLIORÉ BEAUTY.
